Best Practice: Search to Reflect
Many of our clients ask us about searching to reflect after they file a financing statement. They are unsure of the purpose of this search.
I filed it in the correct jurisdiction. I have an acknowledgment copy telling me it was filed. Isn’t that enough to ensure perfection and priority? Perhaps not.
Providing an accurate debtor name is the most crucial UCC filing requirement. Data entry errors can make it difficult to locate a UCC filing and can put Secured Parties at risk. Whether the error occurs in the original filing, or at the office of filing, it can be uncovered by conducting a UCC search to reflect. If a mistake is found, it can quickly be corrected. A search to reflect is the proper way of identifying a filer’s priority to collect on debts. A search to reflect is a critical step in due diligence. If your current practice does not include any sort of due diligence after filing you should seriously consider adding a search to reflect to your filing process.
