Five fun facts about The Grand Canyon state, Arizona:
Similar to New York and Nevada, Arizona requires publication of the existence or corporate activities (amendments, withdrawal & dissolution) of existing entities. All newly created domestic and foreign corporations and Limited Liability Companies must publish within 60 days of formation.
The publishing ad must run in three consecutive publications in a newspaper of general circulation in the county of the place of business. Upon completion, the newspaper will send affidavits of publication which unlike New York, are not required to be filed with the Arizona Corporation Commission.
The penalty for not fulfilling the publication requirement could result in involuntary dissolution or withdrawal of your entity as well as denied access to all 100 Arizona wineries. Ok, access to wineries will not be denied but now that we have your attention….make sure to contact your Client Service Representative to discuss your publication options in Arizona.
