Registry of Corporations and Entities-Reminder to file annual reports or pay annual fee for 2014
It is that time of year. Time to file Annual Reports and pay Annual fees/Franchise Taxes. Below is the correspondence we received from our agent in Puerto Rico. The informational email was created by Francisco J. Rodriguez Bernier, Esq., Assistant Secretary of State, Puerto Rico Department of State.
This email is a reminder that in order to be in good standing, you must file the Corporate 2014 Annual Report or pay your LLC Annual Due on or before April 15th, 2015. If your corporation qualifies and requires an extension, you must Pre-Pay the Annual Report by April 15, 2015 as well. This extension will allow you to file by June 15, 2015.
Remember that every entity organized under the laws of the Commonwealth, or authorized to do business in Puerto Rico, shall annually submit no later than April 15th an annual report or pay its annual fee. If an entity fails to file the annual report or pay annual fee within the time stated by law, the Secretary of State is authorized to impose administrative fines for violation according to Sections 15.02, 15.04 and 21.03, respectively, of Act 164 – 2009, “General Corporations Act”.
If the entity is no longer in business, you should file a Dissolution or Withdrawal of its Authorization to do Business in Puerto Rico.
Who must file an annual report?
Every corporation (Profit and Non-Profit) registered on or before December 31, 2014 must complete the annual report on-line as soon as possible, except for Nonprofit Religious Corporations.
Who must pay an annual fee?
Limited Liability Companies (LLC) are required to pay an annual fee.
