All Corporations registered in Puerto Rico are required to file an Annual Report and Limited Liability Companies are required to pay Annual Dues with the Puerto Rico Registry of Corporations by April 15th. Learning from the experience with the past filing seasons, the Department of State has decided to offer Credit Card as the only payment method available on-line.
Please read this complete message even if you have complied with the current year filing requirement. To be in Good standing, the Secretary of State uses the last 5 years as a basis for domestic and foreign entities, whether or not for profit. The Department of State has declared a Penalty Waiver Program for corporations effective on February 14, 2014. This program grants the ability to file annual reports for prior years without penalty. The program will remain effective until April 15, 2014. Please visit the on-line Registry of Corporations to review your annual filings and take advantage, if needed, of the Penalty Waiver Program to be in Good Standing.
Corporations and LLCs which do not comply with their annual filing requirements are subject to administrative cancellation.
