Gale Smith-Camp, our California Branch Manager attends the California Secretary of State Stakeholder’s meeting on a regular basis. The purpose of these meetings is to keep service companies like ours informed and up to date on changes and enhancements to processing California work. A brief outline of the high points is detailed below.
Business Connect:The California Business Connect Project Timeline continues to move forward with a roll-out date of 6/30/2016. They are moving into the design phase of the project now and are looking forward to receiving input. In connection with that there will be changes coming in the next few weeks to the Secretary of State’s website in look and function.
Forms: There will be new forms available effective 1/1/2015 for some of the business filings. Conversion filing forms will have significant changes. In addition, Flexible Purpose Corporations will be changed to Social Purpose Corporations as reflected in SB 1301.
Welcome Letter:There have been changes made to the “Welcome Letter” provided by the Secretary of State’s office with new business entity filings. United Corporate Services sends these letters along with the filings to our clients. There are useful links included on these Welcome Letters that are very handy for new businesses in California. However, the state will no longer provide the Tax Voucher required by LLCs (FTB Form 3522). It is more beneficial to provide the links to ensure the use of the most current forms and information.
Name Reservations:A small reminder that LLC name reservations are now required to be done in writing so therefore a renewal cannot be submitted until the open day has passed. Name reservations in California are valid for 60 days. It must then be open for one day to everyone but the person or firm that previously reserved it. Also please remember that it is written in statute that any name with “Holding/Holdings” must have a Letter of Consent submitted with a filing. For example, if you want to name your business “Gale’s Capital Finance Holding Company”, you would need a Letter of Consent from “Gale’s Capital Finance Inc.” The Secretary of State’s office is working towards putting a sample Letter of Consent on their website.
