Gale Smith-Camp, our CA Branch Office Manager discusses the new Certificate of Filing of All Documents.
Effective May 19, 2014, the California Secretary of State will no longer issue a Certificate of Filing for a single event, previously known as a Certificate of Fact regarding Filing. You can either order a plain or certified copy of the particular filing or you can order what the state is now calling a Certificate of Filing of All Documents. This used to be referred to as a Certificate of Listing (or Listing Certificate). With the state heading towards a more interactive web experience, this is one of the steps they have taken. The new Certificate of Filing of All Documents will list in chronological order all filings made for the business entity on the records of the Secretary of State. They will be listed in chronological order starting with the initial formation, registration or conversion filing and will include:
1) Document type (e.g., Formation, Registration, Amendment, Merger, etc.)
2) File date and the effective date of that filing
3) IF the filing changed the name, the prior name of the business entity
**PLEASE NOTE: The entity names or entity types in a merger or conversion filing or any other details will NOT be listed on the Certificate of Filing of All Documents. If such information is required, you will need to order a copy of the document filed.
4) Statements of Information will be listed as well. Please keep this in mind if ordering for an LLC as ALL Statements will be listed. If ordering for a corporation, only the most recent and last complete Statement will be listed.
The State fee PER DOCUMENT LISTED is $5 (plus the special handling fee of $10), so if there are many documents filed, this could be expensive. The state will not advise how many documents are of record prior to issuing this Certificate. Therefore, there is no way for the service company to advise or control the costs in advance.
You can still order a Certificate of Fact regarding status, as the State considers that a Status Certificate and not a Certificate of Fact.
